General Terms and Conditions of Sale (GTC)

Article 1 – Scope

These General Terms and Conditions of Sale apply to all sales concluded between Portostone and its professional clients (hereinafter “the Buyer”). Placing an order implies full and unconditional acceptance of these GTC.

⚠️ Trade sales only. A valid VAT number or equivalent business registration is required to place an order.

Article 2 – Orders

All orders are firm and final upon written confirmation by Portostone and receipt of the deposit. No cancellation will be accepted once production has started.

⚠️ Exclusive sale by full truck of 24 tonnes (approximately 440 m² at 2cm thickness).
No individual pallet shipments.

Article 3 – Pricing

All prices are quoted in euros excluding VAT (ex-VAT). Rates are provided on personalised quotation based on volume, destination and agreed delivery terms (Incoterms EXW, DAP or DDP).

Article 4 – Payment Terms

Payment is made in two stages:

  • 🟡 50% on order – Deposit required to launch factory production
  • 🟢 50% on loading – Balance payable before truck release, against the following proof:
    • Photos of every slab and every batch from all angles
    • Photos of the loaded truck at the Porto de Mós / Calvaria de Cima extraction site
    • International waybill (CMR) signed by the carrier

Golden rule: “Balance payable against proof of loading”
The Buyer pays the balance only when they have visual and legal proof that their goods are on the truck. The truck does not leave the Portuguese logistics platform until full balance payment is confirmed by the bank.

Article 5 – Carrier Detention Fees

⚠️ Any delay in paying the balance after receipt of loading proof will result in carrier detention fees charged exclusively to the Buyer. These fees are invoiced by Transportela, Lda at their current rates. The balance transfer must be executed immediately upon receipt of proof.

Article 6 – VAT and Taxation

  • EU clients with a valid VAT number (VIES verified): Invoiced at 0% VAT – reverse charge mechanism applies.
  • Non-EU clients: VAT-exempt export. Import duties and taxes are the exclusive responsibility of the Buyer.

Article 7 – Pre-shipment Quality Control

Our process is fully transparent: once pallets are ready, our partner physically travels to the Calvaria de Cima quarry, inspects every slab, photographs all batches from every angle, and sends you the carrier’s waybill (CMR) with photos of the truck being sealed. You pay the balance only when you have visual and legal proof that your goods are on the truck.

Article 8 – Delivery

Delivery terms (Incoterms, lead times, costs) are specified in the quotation and order confirmation. See our Shipping Policy for full details.

Article 9 – Receipt and Claims

The Buyer must inspect goods upon delivery. In case of damage or shortage:

  • Issue written reservations on the delivery note in the presence of the driver
  • Confirm in writing to Portostone within 48 hours of delivery
  • Any claim submitted after this deadline cannot be considered

Article 10 – Right of Withdrawal

In accordance with B2B sales regulations, no right of withdrawal applies. Any confirmed order with deposit paid is binding on the Buyer.

Article 11 – Liability

Portostone’s liability is limited to the value of the order concerned. Goods are transported under the CMR insurance of carrier Transportela, Lda (Semper, policy no. 80-0766123215, coverage up to €250,000).

Article 12 – Retention of Title

Goods remain the property of Portostone until full payment of the sale price has been received.

Article 13 – Governing Law and Jurisdiction

These GTC are governed by Portuguese law. In the event of a dispute, the parties agree to seek an amicable resolution. Failing that, the competent court shall be that of Portostone’s registered office (Batalha, Portugal).

Article 14 – Personal Data

Data collected during the order process is used solely within the scope of the commercial relationship. In accordance with GDPR, you have the right to access, rectify and delete your personal data.
